Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using Wraft (the “Service”) operated by Functionary Labs Private Limited (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Subscription and Accounts

1.1 Subscription Terms
The Service is provided on a subscription basis. By subscribing to Wraft, you agree to pay the subscription fees as per your chosen plan. Subscription fees are billed in advance and may be updated from time to time. We will provide notice of any price changes at least 30 days in advance.

1.2 Account Creation
When you create an account with us, you guarantee that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

1.3 Account Security
You are responsible for maintaining the confidentiality of your account and password, including but not limited to restricting access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password.

2. Service Level Agreement (SLA)

2.1 Service Availability
We strive to maintain 99.9% service availability. Scheduled maintenance windows will be communicated in advance. We are not liable for any downtime caused by circumstances beyond our reasonable control.

2.2 Data Storage and Backup
While we implement reasonable data backup procedures, you are responsible for maintaining backups of any data you input into the Service.

3. Intellectual Property Rights and Open Source License

3.1 Open Source Software
Wraft is open-source software. The source code is available under AGPL-3.0 License and can be accessed at GitHub repository. While the software itself is open source, the Service is operated by Functionary Labs Private Limited.

3.2 Our Rights
While Wraft’s source code is open source, the Service, including our hosted infrastructure, proprietary features, and any modifications we make to the open source code for our hosted service, are operated and maintained by Functionary Labs Private Limited. Our trademarks, logos, and brand features are not covered by the open source license.

3.3 Contributions
If you submit code or other material to Wraft’s open source repositories:
- You confirm that you have the right to submit the contributions
- Your contributions will be licensed under the same open source license as the project
- You grant Functionary Labs Private Limited a perpetual, worldwide, non-exclusive, royalty-free license to use your contributions
- You acknowledge that your contributions may be public and visible to others

3.4 Your Data
You retain all rights to any data you input into the Service. The open source nature of Wraft does not grant others the right to access your private data stored within our hosted Service.

4. Acceptable Use Policy

While using this Service, which is licensed under the GNU Affero General Public License (AGPL), you agree not to:

  • Use the Service for any illegal purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to the Service’s systems or networks
  • Intentionally interfere with or disrupt the integrity, performance, or availability of the Service
  • Use the Service to store or transmit malicious code, viruses, or harmful data
  • Exceed any reasonable resource usage limits specified in your subscription plan

Nothing in this Acceptable Use Policy shall be interpreted to restrict or limit the rights granted to you under the GNU Affero General Public License, including your rights to:

  • Access, copy, modify, and create derivative works based on the source code
  • Redistribute the software and your modifications under the terms of the AGPL
  • Receive the complete corresponding source code as guaranteed by the AGPL

Your use of the Service constitutes acceptance of both this Acceptable Use Policy and the terms of the GNU Affero General Public License.

5. Data Privacy and Security

5.1 Data Processing
We process your data in accordance with our Privacy Policy and applicable data protection laws. We implement appropriate technical and organizational measures to protect your data.

5.2 Data Location
Your data may be stored and processed in any country where we maintain facilities. By using the Service, you consent to the transfer of your data to countries outside India.

6. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

7. Limitation Of Liability

In no event shall Functionary Labs Private Limited, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

9. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Karnataka, India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Karnataka, India.

10. Open Source Contributions and Community

10.1 Community Guidelines
When participating in Wraft’s open source community, you agree to:
- Follow our community code of conduct
- Respect other contributors and maintain professional discourse
- Report security vulnerabilities responsibly through our designated channels
- Not use the community platforms for spam or promotional purposes

10.2 Security Reports
If you discover security vulnerabilities, please report them responsibly by emailing hello@functionary.co. Do not disclose security vulnerabilities publicly until we have had a chance to address them.

10.3 Commercial Use
While Wraft’s source code is open source, using our hosted Service requires adherence to these Terms and may require payment for commercial usage. The open source license applies to the software code, not to our hosted Service.
